Members Contract & Agreement

Beautiful Shops, Inc.  enters into this Agreement with the assigned party below and promises to adhere to this contract.  Beautiful Shops, Inc will aggressively market, advertise and promote it's site by placement of Advertising in national magazines, Search engine optimization, Forums, Top list rankings, Link exchange programs & misc. media.

Beautiful Shops, Inc. agrees to place your business in the number of magazine ad "months" as promised in your membership package and will contact you with all/any additional advertising opportunities.

Beautiful Shops, Inc. promises to honor everything in your membership package, &  to give you a user/pass to our private VIP Club. Packages vary depending on your Membership.
Beautiful Shops, Inc. agrees to give members the first option to renew their space.  YOU MUST give Beautiful Shops a 90 day notice of cancellation due to advertising 3 months ahead. 
You will be charged $200 per ad for all ads placed after you have cancelled.

Only Boulevard Members are guaranteed front page space on our web site. You agree to and understand that we change our ads accordingly to make space for Blvd. Members first in our magazine ads.  You are not promised any spot in a magazine ad. You understand that you will be in different magazines we choose unless you specifically ask in advance to appear in a certain magazine.  You understand that advertising usually is contracted 3 months in advance.  Please Plan accordingly.


 Membership Acceptance

We reserve the right to refuse Membership to anyone and to cancel Membership when anyone breaks our rules or due to unprofessional conduct or practices, or is disruptive to our business or reputation of our Site, this is at our sole discretion.  Anyone promoting our competition on our site/forums/etc will forfeit their membership.
All Members MUST have our banner linked to us on their site in a visible place.
Anyone using Members emails without permission or any of our email lists will forfeit their membership. Members want confidentiality.

As a Member all information you provide to us is accurate and truthful, you are not a minor under applicable laws, will not have anything illegal or offensive within the content of your site, will conduct your business under applicable laws within your state and will not infringe on anything copyrighted or trademarked .

Membership Fees

Fees are posted on our site, you agree to pay in full the fees for the Membership when you complete the Membership application. All ads contracted outside your membership package must be paid when the ad closes (goes to press).  Membership ads are one ad per one month.  If a magazine stays out longer, for example, spring or winter or for noted months, these count as ad months not regular Membership ads. We offer special packages for these outside of Membership Fees. (If a monthly magazine stays out longer this does not count)

Advertising Opportunities

We advertise in several National magazines for maximum exposure. You may advertise in any magazine where we have availability for a reasonable amount which we shall decide depending on how many want to contribute. You do not have to stay with one magazine.  We must have sufficient notice as advertising runs usually three months in advance. 

Practice Of Fairness

We do not take commissions for any products or sales or services and do not favor one business over another.  We promise fairness & honesty. Shops are chosen for ads accordingly and within obligations of your particular Membership package.


Intellectual Property Rights

This Agreement does not grant you any intellectual property rights within our business, trade name, trademarks, logos, our Site or any content developed by us, which shall remain our intellectual property, including the personalized shops in your Membership package which remain our property and may not be used anywhere else without our permission.  You may not open, own or be partnership in any business that is similar to ours on the Internet for one year after your membership and may not give out our private information.


Limitation of Liability

You will not hold us responsible for the actions of any Buyer, who may come to you through our site or advertisements. You acknowledge that we are not involved in the actual transaction between Sellers and Buyers or have anything either personal or business to do with your site or your business or you as an individual.  We simply provide a venue for advertising and traffic to your site.  We make no promises or guarantees of how much traffic or business you will get.  We act as a Club to network together to provide networking information and opportunities that you take at your own risk.  You agree to hold Beautiful Shops, Inc. harmless of any/all liability.


Disclaimer of Warranties

You hereby Acknowledge and agree that as a Member of our site the use of all information and advertisements is at your own risk, we hereby disclaim warranty to anything expressed or noted on our site.  We do monitor the site daily.

Indemnification

You will indemnify and hold us (and our officers, directors, agents, and employees) harmless from any claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, including not paying your membership Fees or advertising or your violation of any law or any rights of a third party.
Should we have to enter into a legal situation due to non-payment of ads/contract this action shall remain solely between the parties and you are not to discuss this with any Member of Beautiful Shops. Libel, Slander, and Defamation of Character is very serious and could harm the good reputation of Beautiful Shops.  Should this occur we will take you to court and you will be responsible for all legal fees on top of the amount due and any/all compensation.  You agree to this when you enter into this contract between you and Beautiful Shops.

No Partnership

No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Florida, as applied to agreements entered into and to be performed entirely within Florida laws & courts.


Entire Agreement

This Agreement constitutes the entire agreement between the parties , the first party being, Beautiful Shops, Inc and the second party as signed below, with respect to the use of our Site and services thereunder and supersedes all prior or contemporaneous
understandings regarding such subject matter, with the exception of any additional terms and conditions you are required to accept if you choose to use any of our additional services.

Additional Policies

In addition to this Agreement, our posted policies may be changed from time to time. Changes take effect when we post them on the Site. we reserve the right to remove any item, picture, or posting from our Site at any time for any reason, without notice to any Seller. We are under no obligation to remove or change any item, picture, or posting from our Site at any Seller's request and any such requests shall be resolved at our sole discretion.

I agree that membership is a privilege subject to the rules of Beautiful Shops, Inc.  Once Membership is approved, I agree to pay in full the membership dues according to my contract.

Beautiful Shops will not refund Membership or advertising fees.  If there is a dispute, Beautiful Shops may give you more time added to your Membership to resolve an issue, not a refund.

My Membership may be suspended or terminated and I will not be refunded my fees if this contract is broken or rules/policies are not followed.  I understand and agree to comply with the Rules/Policies of Beautiful Shops, Inc. I have read, fully understand and agree to this contracted Agreement.  By submitting this form it serves as my legal signature.
